Paramount Skydance has completed the sale of $52bn of loans and bonds in just one week to finance its acquisition of Warner Bros. Discovery, concluding a months-long debt-raising process that had delayed the transaction.
The financing clears the way for David Ellison’s company to close the $110bn takeover by October 6, giving Paramount control of Warner’s film, streaming, and gaming businesses.

Eni and Repsol are considering bringing outside investors into Venezuela’s Perla gas field, with each company potentially selling part of its 50% stake to raise capital for further development.
The offshore field is one of Venezuela’s largest natural gas assets. The discussions come as US policy shifts seek to encourage greater investment in the country’s energy sector, though no transaction has been agreed.
Solidion proposes all-cash acquisition of Flux Power. ( Press Release)
Solidion Technology has proposed acquiring 100% of Flux Power in an all-cash transaction and said it intends to continue pursuing the deal despite resistance from Flux management and its board. The proposal is non-binding and remains subject to due diligence, financing considerations, approvals, and definitive documentation.
Solidion said Flux would provide an established revenue base, customer relationships, manufacturing capabilities and market access that could accelerate its battery commercialization strategy. It also pointed to Flux’s weaker financial position, including $42.1m of fiscal 2026 revenue, a $7.4m net loss and approximately $0.3m of cash at year-end, as justification for a change in ownership.

Nscale has hired longtime Meta executive Justin Osofsky as chief operating officer as the AI infrastructure company prepares for an IPO and accelerates its international expansion.
Osofsky spent 18 years at Meta and was most recently chief partnerships officer. He will report to CEO Josh Payne and oversee global operations. Nscale develops large-scale AI infrastructure, including data center and compute capacity for customers running advanced AI workloads, and is scaling the business ahead of a planned listing.

Paramount Skydance CEO David Ellison plans to put Paramount Pictures chiefs Dana Goldberg and Josh Greenstein in charge of the combined film studio operations once the company completes its $110bn acquisition of Warner Bros. Discovery.
The appointments would place Paramount’s current film leadership at the top of Warner Bros. Pictures as Ellison begins reshaping management across the enlarged entertainment group.

Henkel, a German multinational chemical and consumer goods company, completed the acquisition of Stahl, a company specializing in coatings and treatments for flexible substrates, from Wendel, an investment company, BASF, a chemical manufacturing company, and Clariant, a specialty chemicals company, for €2.1bn ($2.36bn), according to press releases.

The bank has said it will withdraw the bid if MPS shareholders approve CEO Luigi Lovaglio’s plan to acquire Banco BPM and Banca Generali, effectively forcing investors to choose between the two strategies.

J Sainsbury and Morrisons held preliminary merger discussions earlier in 2026, although the talks are not currently active. Morrisons owner Clayton Dubilier & Rice is understood to remain open to a combination with a major UK supermarket rival.
A tie-up would represent a major consolidation of the grocery sector, with a combined Sainsbury’s-Morrisons group holding about 23.8% of the UK market, compared with Tesco’s 28.2%. Any transaction would still face competition scrutiny, though industry participants believe the rise of Aldi and Lidl has changed the regulatory backdrop since previous attempted supermarket mergers.

Tesco is among the bidders considering an acquisition of Majestic Wine Group, which has been put up for sale by owner Fortress Investment Group. A formal auction began several weeks ago, with multiple parties understood to be involved.
Majestic operates more than 200 stores across the UK and Jersey and has expanded under Fortress through new openings, online growth and acquisitions including Vagabond Wines and Enotria. A sale is expected to value the business at several hundred million pounds.

Digi International announces intent to acquire Disruptive Technologies for $130m in cash to strengthen the sensing layer of its SmartSense platform and broaden its physical-world data capabilities for enterprise AI. Disruptive Technologies deploys more than 250k sensors, with long battery life, and broader sensing applications across food, healthcare, building automation, and occupancy.
The deal also gives Digi its first meaningful commercial presence in Europe and is intended to help multinational customers standardize monitoring across regions. Digi expects the combination to deepen its ability to turn real-world sensor data into AI-driven insights and automated workflows, while contributing about $9m of additional adjusted EBITDA and free cash flow in FY28.

Steve Madden is exploring a sale of the business that manages footwear departments in Harrods, Selfridges and other luxury department stores after acquiring Kurt Geiger in 2025 for £289m ($389m).
The process is at an early stage and is being handled by Solomon Partners. The identity of potential buyers and the value of the business being marketed have not been disclosed.

Banks are pushing back against proposed Saudi listing-rule changes that would require underwriters to buy any IPO shares left unsold by investors, potentially leaving them exposed to the full size of an offering.
The proposals are part of a broader overhaul by the Capital Market Authority, but bankers have warned that shifting more placement risk onto underwriters could make them more cautious about backing new deals and further weaken an already softer IPO market.

Headline has launched its eighth Europe-focused early-stage fund with $400m to invest in Seed and Series A companies across the continent, with a particular focus on AI.
The fund complements Headline’s $900m Global Growth Fund, allowing the firm to back European founders from initial rounds through later-stage financings. Headline said it sees stronger potential for globally scaled companies to be built from Europe, particularly across AI, robotics, industrial software, healthcare and defence.

Nippon Paint, a global paints and coatings group, agreed to acquire the decorative paints South East Asian business of AkzoNobel, a Netherlands-based global paints and coatings group, for $1.35bn, according to press releases.

A unit of SBI Holdings is in talks to participate in a new funding round for Indonesian payments infrastructure provider Durianpay. The first tranche is expected to be around $5m-$7m, while the total investment could be larger, though terms and valuation remain under discussion.
Durianpay provides payment acceptance, disbursement, settlement, and reconciliation services and is expanding into treasury infrastructure and stablecoin-enabled cross-border payments. The company processed more than $5.5bn in payment volume in 2025 and recorded its first profitable year.

The Stock Exchange of Thailand plans to introduce dual-class shares in 2027 to attract more companies to the local market by allowing founders to raise capital without giving up as much voting control.
The reform would let listed companies issue share classes with unequal voting rights and is also intended to give institutional investors greater access to leading Thai businesses. The change requires amendments to Thailand’s public company law.

Gaw Capital plans to list a new Hong Kong fund that will invest in private loans secured by real estate assets across Asia Pacific and the Middle East, including markets such as Japan, New Zealand, Singapore and South Korea.
The Gaw Capital Real Estate Private Debt OFC will target at least 90% of its assets in property-related debt, including senior and construction loans, and aims to pay quarterly dividends while delivering long-term capital gains. Jefferies is the sole sponsor and joint listing agent alongside CMB International, while the fundraising size and offer price have not yet been disclosed.
