NOVAGOLD, a Canadian gold development company, agreed to acquire the remaining 40% stake in Donlin Gold, a company developing the Donlin Gold project in Alaska. Following completion, a new Delaware-incorporated parent company with an implied equity value of approximately US$4.2bn will be formed, with existing NOVAGOLD shareholders owning approximately 65% and Paulson the remaining 35%, according to press releases.

Attestor to take full control of Condor by September 30. ( Reuters)
Attestor plans to acquire the remaining 49% stake in German leisure airline Condor from the German government by September 30, exercising an option agreed when it acquired a 51% stake in the carrier in 2021. The deal will give the investment firm full ownership of Condor.
Attestor acquired its majority stake as part of Condor’s rescue following the collapse of Thomas Cook and the COVID-19 pandemic, investing €200m ($228m) in equity and committing a further €250m ($285m) for fleet expansion. It is also exploring adding a strategic airline partner to support the carrier’s future growth.

KKR-backed Vertis Infrastructure Trust is in advanced discussions to acquire eight road assets in the southern Indian states of Andhra Pradesh and Telangana from Megha Engineering & Infrastructures in a deal valued at about $800m, including debt.
The transaction would expand Vertis' infrastructure portfolio if completed. Discussions are ongoing, and no final agreement has been reached.
TPG eyes sale to Japan hotel REIT for $860m. ( Bloomberg)
TPG Asia Real Estate is in discussions to sell the Grand Nikko Tokyo Daiba hotel to Japan Hotel REIT Investment in a deal valued at about JPY140bn ($860m), as Japan's tourism boom continues to support hotel valuations.
TPG acquired the Tokyo property in 2024 for about JPY100bn ($614m). Discussions remain ongoing, and no agreement has been reached.
MSEDCL picks banks for India IPO worth up to $1bn. ( Bloomberg)
Maharashtra State Electricity Distribution has shortlisted six investment banks for a planned initial public offering that could raise between $500m and $1bn. SBI Capital Markets, IIFL Capital Services, ICICI Securities, Motilal Oswal Investment Advisors, IDBI Capital Markets & Securities and HDFC Bank have been selected as advisers.
The utility, also known as MEDCL, could appoint additional banks before formally launching the IPO process. Deliberations remain ongoing, and the plans are subject to change.
